Last Updated: 06/09/2025
Welcome to Solvent Global. These Terms of Service ("Terms") constitute a legally binding agreement that governs your access to and use of our websites, platforms, products, and services (collectively referred to as the "Services"). By accessing or utilizing any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with any provision of these Terms, you are prohibited from using our Services and must discontinue access immediately.
Eligibility and User Requirements
To access and use our Services, you must be at least eighteen (18) years of age or have reached the age of majority in your jurisdiction, whichever is greater. By engaging with our Services, you represent and warrant that you possess the full legal authority and capacity to enter into these Terms and to perform all obligations herein. Furthermore, you acknowledge that the use of certain specialized Services may require regulatory approvals, licensing, or strict adherence to financial regulations, including but not limited to Know Your Customer (KYC) and Anti-Money Laundering (AML) obligations. You bear sole responsibility for ensuring complete compliance with all applicable requirements within your jurisdiction and for obtaining any necessary permissions or authorizations before utilizing our Services.
Scope and Nature of Services
Solvent Global operates as a comprehensive technology solutions provider specializing in financial technology and regulatory compliance infrastructure. Our suite of Services encompasses four primary offerings: Financial AI through our proprietary Solvent GPT™ platform, which delivers sophisticated market intelligence and decision support capabilities; Educational Signals designed exclusively for training and educational purposes rather than as actionable financial advice; our Automated Trading solution branded as Insight™, which provides algorithmic execution capabilities with full user transparency and oversight mechanisms; and our institutional-grade Compliance Infrastructure known as ComplyIQ™, which facilitates comprehensive KYC, AML, monitoring, and regulatory reporting functions. We reserve the absolute right to modify, enhance, suspend, or permanently discontinue any aspect of our Services at our sole discretion, with or without prior notice to users, as we continually evolve our offerings to meet market demands and regulatory requirements.
Financial Advice Disclaimer and Educational Nature
It is crucial to understand that Solvent Global functions exclusively as a technology provider and does not operate as a financial advisor, broker-dealer, investment consultant, or fiduciary in any capacity. All Educational Signals, artificial intelligence outputs, market analyses, and any information generated through our Services are provided strictly for educational and informational purposes. Nothing contained within, derived from, or produced by our Services should be construed, interpreted, or relied upon as personalized investment advice, financial guidance, trading recommendations, or solicitations to purchase, sell, or trade any securities, commodities, derivatives, or other financial instruments. All trading and investment decisions remain entirely within your purview and responsibility, and you acknowledge that Solvent Global bears no responsibility for the outcomes of such decisions.
Comprehensive Risk Disclosure
Engagement with financial markets inherently involves substantial risks, including but not limited to the potential for complete loss of all invested capital, and you must carefully consider these risks before utilizing our Services. The deployment of automated trading strategies and artificial intelligence-driven models introduces additional layers of risk, including execution risks, algorithmic errors, technical failures, market volatility impacts, and systemic risks that may result in significant financial losses. Historical performance data, backtesting results, simulations, and any past performance metrics provided through our Services do not indicate, guarantee, or predict future results or performance. By using our Services, you explicitly acknowledge and accept full responsibility for evaluating, understanding, and assuming all risks associated with financial markets and automated trading systems.
User Responsibilities and Compliance Obligations
As a user of our Services, you covenant to utilize all aspects of our platform in strict compliance with all applicable laws, regulations, and industry standards, including but not limited to financial regulations, international sanctions, export controls, and data protection legislation such as the General Data Protection Regulation (GDPR) and California Consumer Privacy Act (CCPA). You are expressly prohibited from misusing our Services through any attempts to reverse-engineer our technology, exploit system vulnerabilities, engage in unauthorized access, conduct unlawful trading activities, facilitate compliance evasion, or use our Services for any illegal or unethical purposes. Institutional clients utilizing our ComplyIQ™ platform maintain full responsibility for ensuring the accuracy and completeness of all regulatory filings and for maintaining ultimate compliance with all regulatory authorities, with our Services serving only as technological tools to assist in these processes.
Intellectual Property Rights and Licensing
All content, software, algorithms, methodologies, reports, analyses, documentation, and intellectual property provided by or through Solvent Global, including but not limited to proprietary code, trading strategies, compliance frameworks, and educational materials, remain the exclusive property of Solvent Global and are protected by applicable copyright, trademark, patent, and trade secret laws. Your use of our Services grants you a limited, non-transferable, non-exclusive, revocable license to access and utilize the Services solely for your internal business or personal purposes as explicitly authorized. You are strictly prohibited from copying, modifying, redistributing, reselling, sublicensing, or creating derivative works from our Services or any component thereof without obtaining prior written permission from Solvent Global.
Privacy and Data Protection Commitments
Our collection, processing, storage, and use of personal and financial data are governed by our comprehensive Privacy Policy, which forms an integral part of these Terms. We implement robust security measures including encryption, multi-factor authentication, access controls, and industry-standard safeguards to protect the confidentiality and integrity of user data. By accessing and using our Services, you provide explicit consent for the collection, processing, and utilization of your data as described in our Privacy Policy, and you acknowledge our commitment to maintaining the highest standards of data protection and privacy compliance.
Account Management and Security
Access to certain Services requires the creation and maintenance of a user account, for which you assume complete responsibility. You must maintain the strict confidentiality of your login credentials, including usernames, passwords, and any multi-factor authentication mechanisms, and you accept full responsibility for all activities occurring under your account. You must immediately notify Solvent Global of any suspected or actual unauthorized access, security breaches, or compromise of your account credentials, and we reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.
Service Availability and Technical Limitations
While we strive to maintain continuous availability and optimal performance of our Services, we do not guarantee uninterrupted, error-free, or completely secure operation at all times. Scheduled maintenance windows, system upgrades, and unforeseen technical issues may occasionally result in service interruptions or degraded performance. Solvent Global disclaims all liability for any downtime, delays, data loss, or service interruptions, whether scheduled or unscheduled, and users acknowledge that such occurrences are inherent to technology services and do not constitute a breach of these Terms.
Limitation of Liability
To the fullest extent permitted by applicable law, Solvent Global, its parent companies, subsidiaries, affiliates, directors, officers, employees, agents, and representatives shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, trading losses, data loss, business interruption, or reputational harm arising from or related to your use or inability to use our Services. Our liability for compliance failures resulting from inaccurate, incomplete, or misleading client-provided data is expressly disclaimed. In no event shall our total aggregate liability exceed the amount of fees you have paid to Solvent Global for the specific Services giving rise to the claim during the twelve (12) months immediately preceding the event causing the liability.
Indemnification Provisions
You agree to defend, indemnify, and hold harmless Solvent Global, its parent companies, subsidiaries, affiliates, and their respective directors, officers, employees, agents, and representatives from and against any and all claims, damages, obligations, losses, liabilities, costs, expenses, regulatory penalties, or fees (including reasonable attorneys' fees) arising from or related to your misuse of the Services, your violation of these Terms or applicable laws, your infringement of any third-party rights, or your reliance on information, signals, or outputs provided by our Services. This indemnification obligation shall survive the termination of these Terms and your use of the Services.
Termination Rights and Procedures
Solvent Global reserves the unilateral right to suspend, restrict, or terminate your access to the Services immediately and without prior notice if we determine, in our sole discretion, that you have breached these Terms, engaged in fraudulent or illegal activity, or posed a risk to our Services, other users, or our business interests. Upon termination, all rights and licenses granted to you under these Terms will cease immediately, and you must discontinue all use of our Services and delete any downloaded or cached content. Termination does not relieve you of any obligations incurred prior to termination, including payment obligations and the survival provisions outlined in these Terms.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles, reflecting the jurisdiction of Solvent Global Ltd's incorporation and primary operations. Any disputes, controversies, or claims arising out of or relating to these Terms or your use of the Services shall be resolved through binding arbitration conducted in London, United Kingdom, in accordance with the rules of the London Court of International Arbitration, unless otherwise required by applicable law or where arbitration is legally prohibited. You hereby consent to the exclusive jurisdiction of the English courts for any matters not subject to arbitration and waive any objections to venue or inconvenient forum.
Modifications to Terms
Solvent Global reserves the right to modify, amend, or update these Terms at any time to reflect changes in our Services, business practices, or legal requirements. We will post the updated Terms on our platform with a revised "Last Updated" date, and such changes will become effective immediately upon posting unless otherwise specified. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of and agreement to be bound by the modified Terms. If you do not agree with any modifications, you must immediately cease using our Services.
